Does QuantityWare have specific contract conditions?

QuantityWare offers a “usage” package of the Bulk Calculations Solution (BCS) to its customers. The contents of this package are summarized in this FAQ.

All offers of usage are based on two agreements:

1. QuantityWare Annual Usage Agreement
2. QuantityWare Mutual (bi-directional) Non-Disclosure Agreement

These agreements have been crafted and refined since 2006 and are based on German law (law of Codex).

• Our NDA is a “standard” Bi-Directional agreement.
• The Annual Usage Agreement has been adopted to reflect the usage model and that we offer e.g. the type of usage allowed, the methods of issue communication supported and the quality of support services offered.

For Customers who wish to use their own Agreements the following applies:

• Due to the increased risk for QuantityWare and the extended administration effort required to negotiate, agree and support such agreements, the NET Annual Usage Fee charged will be 20% higher than published prices.
• QuantityWare is a German company that does not generally provide  consultancy services. Thus:
  • We are legally required to insure all employees so no additional insurance will be required.
  • We fulfil all legal requirements for German and European human and worker’s rights.
  • On-site consultancy and engagement regulations are not required.
• A specialized spot consultancy service (expedited by a QuantityWare Certified Consultant) is available for limited scope BCS configuration and customizing issues reported though our service portal – details can be found in QW Note #000121.
• QuantityWare GmbH does not agree to any of the following:
  • provision of customer bank guarantees
  • provision of insurance certificates regarding our solution
  • on-premise audits of QuantityWare (or any associated costs)
  • any form of IP ownership in any circumstance reverting to the customer with regards to our standard BCS and its content

  • any modification or extension of QuantityWare code by any method, unless specifically defined in the appropriate “BC(P/G) 3.0 Reference Manual” – see here
  • alternative maintenance agreements. Reason – QuantityWare BCS is licensed with an annual usage agreement that includes all maintenance
